ROAD TO ROO 2018 CONTEST

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. ALL FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.

  1. ELIGIBILITY. THIS CONTEST IS OPEN ONLY TO LEGAL RESIDENTS OF GEORGIA AND TENNESSEE, WHO ARE AT LEAST 21 YEARS OLD AS OF DATE OF ENTRY AND WHO PERFORM IN A MUSICAL GROUP OR AS A SOLO ARTIST (each, a "Band Member"; collectively, a "Band"). All Band Members are subject to a background check and may face removal based on the results of such background check at any point during the Contest.

For a Band to be eligible, (i) it may have no more than ten (10) Band Members; (ii) each Band Member must satisfy all of the eligibility requirements; (iii) Band must perform pop, hip-hop, rock, rap, R&B, or country music; (iv) Band must have a “family friendly/all ages” presentation (meaning: no cursing, lewd lyrics, or inappropriate attire – all as determined within the sole discretion of Sponsor); and (v) Band must provide its own equipment. Any Band Member who, at any point during the Promotion Period (as defined herein), is under a music recording contract (written or oral), or any other contractual arrangement that would prohibit Band or Band Member from fully participating in the Contest or transferring any rights, is not eligible. Employees of Cox Radio, Inc. (“Sponsor”), WNGC-FM, WTSH-FM, WXKT-FM, and WPUP-FM (each, a “Station”; collectively, the “Stations”), and/or their parents and affiliates, subsidiaries and related companies, as well as their immediate families (defined as parents, children, siblings and spouse and their respective spouses, regardless of where they reside) and those living in the same household, whether or not related, (collectively “Promotion Entities”) are not eligible to enter or win. Employees, agents and officers of alcohol beverage retailers and distributors and their family members are not eligible to enter or win. Persons belonging to or affiliated with a professional musician, acting, theater, or film-making organization, such as the American Federation of Musicians (“AFM”), the Screen Actors Guild (“SAG”), or the American Federation of Television and Recording Artists (“AFTRA”), are not allowed to compete in the Contest or participate in any entry. Professional musicians, actors, and filmmakers, whether full-time or part-time, are allowed to compete so long as they do not belong to any professional organizations connected with the entertainment industry that would cause Sponsor to pay the entrant or any other person a fee or any other benefit for taking part in any Contest event.

  1. AGREEMENT TO OFFICIAL RULES. Participation in this Promotion constitutes full and unconditional agreement to these Official Rules and Sponsor's decisions, which are final and binding in all matters related to this Promotion. Winning any prize is contingent upon fulfilling all requirements set forth herein.
  1. PROMOTION PERIOD AND PHASES: The Road to Roo Contest ("Contest") begins on January 22, 2018 at 12:00 AM Eastern Time ("ET") and ends on or about April 9, 2018 at 11:59 PM ET (the "Promotion Period"). Sponsor will be the official timekeeper for the Georgia portion of the Contest.

The Promotion Period consists of the following Phases:

1) Submission Phase - Begins on January 22, 2018 at 12:00 AM ET and ends on February 12, 2018 at 11:59 PM ET. During the Submission Phase, a Band may enter the Contest by uploading an "Audio File" (as defined in Section 5, below), to any Station website: www.1037Chuckfm.com, www.powerathens.com, or www.yourgeorgiacountry.com (the "Websites").

2) Judging Phase - Begins on February 12, 2018 at 12:00 PM ET and ends on February 14, 2018 at 11:59 PM ET. During the Judging Phase, through the judging process described below, sixteen (16) Bands per participating city (Athens, GA; Atlanta, GA; Nashville, TN; (each, a "City")) will be selected to compete in the Weekly City Competitions.

3) Weekly City Competitions Phase - Begins February 26, 2018 and ends March 9, 2018. In each City, through the judging process described below, eight (8) winners will be selected from among the sixteen (16) competing Bands in that City to advance to the City Semi-Finals.

4) City Semi-Finals Phase - Will occur during the weeks of March, 12, 2018, and March 19, 2018. In each City, through the judging process described below, four (4) Bands will be selected - from among the eight (8) competing Bands in that City to advance to their respective City Final Competition.

5) City Final Competition Phase – Will occur during the week of March 26, 2018. In each City, through the judging process described below, one (1) Band will be selected from among the four (4) competing Bands in that City to advance to the State Final Competition.

6) State Finals Competition Phase - Will occur during the week of April 2, 2018 in Atlanta, GA and Nashville, TN. Through the judging process described below, one (1) Finalist Band will be selected per state to play on stage at Bonnaroo. The two (2) Finalist Bands will each perform for approximately thirty (30) minutes at Bonnaroo, at the On Tap Lounge brewed by Miller Lite State, on a date between June 7 and June 10, 2018, determined in Sponsor's sole discretion.

  1. HOW TO ENTER: During the Submission Phase, a Band may enter the Contest by visiting one of the Websites, and following all posted instructions on the "Road to Roo" tab to enter. Entry will require Band representative's e-mail address, complete first and last name (no initials), street address (no P.O. Boxes), ZIP Code, daytime telephone number, date of birth, and Band's legal performance name. The Band representative's street address will be considered the Band's city of origin, determining which City and State Competition in which the Band will be eligible to compete.

By participating in the Contest, Bands agree to be bound by Sponsor’s Visitor Agreements and Privacy Policies which are hereby incorporated by reference:

In addition, entry will require the Band to submit an “Audio File” (mp3) that consists of a live performance or audio recording of the Band performing one (1) original song. For the avoidance of doubt, the “Audio File” consists of the musical composition and the sound recording of such musical composition.

Original song requirements: The composer(s) of the original song must be Band Member(s). By entering the Contest and submitting an Audio File, the Band Members represent and warrant to Sponsor that he/she/they, are a not a party to a publishing agreement, and/or an assignment or transfer agreement which would prohibit the use of the original song, as provided herein. In-studio-shot, produced, or otherwise digitally altered or manipulated music will not be allowed. By entering an Audio File into the Contest, the Band Members and their representative represent and warrant to Sponsor that all of the Band Members comply with the eligibility requirements, all of the Band Members consent to having the Audio File posted on the Websites, and all of the Band Members consent to entering this Contest. Finally, the Band representative will be required to provide an Artist Description (as defined in Section 5, below) of the Band which provides information about the Band and the title of the original song played by the Band in the Audio File.

The Audio File and Artist Description must comply with the Submission Guidelines and Requirements of these Official Rules. During the Submission Phase, Sponsor will review each Audio File and Artist Description and provide the Band representative with an e-mail stating whether the Audio File and Artist Description comply with the Submission Guidelines and Requirements. This e-mail is an initial e-mail only and does not waive any requirement should a Band later be found to be ineligible; the Band remains subject to compliance with these Official Rules to be eligible for a prize. Once submitted, the Audio Files and Artist Descriptions may not be changed or altered by the Band Representative or Band.

Limit one (1) entry per Band. This means that each Band may only enter one (1) original song into the Contest and may submit only one (1) Audio File and Artist Description during the Promotion Period. Note, however, that an individual may enter separately as a soloist and as a Band Member and/or may enter as a Band Member of more than one (1) Band. 

  1.   SUBMISSION GUIDELINES AND REQUIREMENTS FOR THE AUDIO FILE AND ARTIST DESCRIPTION: 
  • The Artist Description must be in English or Spanish;
  • The Artist Description must not exceed 300 characters;
  • The Audio File must not exceed 50 MB;
  • The Audio File must be in any one of the following file formats: .mov, .mp3;
  • The Audio File must be no more than 180 seconds in length in its entirety;
  • All content in the Audio File and Artist Description must be original;
  • The Audio File and Artist Description must not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights, including, but not limited to, patents copyrights, trademarks, or trade secrets;
  • The Audio file must be performed in a live setting by the Band;
  • The Audio File and Artist Description must not contain copyrighted materials owned by others (including but not limited to music, photographs, and other works of art or images published on or in websites, television, movies or other media);
  • The Audio File and Artist Description must not contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission;
  • The Audio File and Artist Description must not communicate messages or images inconsistent with the positive images and/or goodwill with which Sponsor or Bonnaroo wishes to associate, as determined solely by Sponsor;
  • The Audio File must contain the voices, sounds, music, and content of Band Members only. Sponsor, in its sole discretion, may elect to disqualify a Band if it believes that the Audio File contains other content that is not provided by Band Members;
  • The Audio File must not contain any lip-synching or post-production voice enhancement;
  • The Audio File and Artist Description must not contain material that is inappropriate, indecent, lewd, pornographic, obscene, hateful, tortious, defamatory, slanderous or libelous, as determined solely by Sponsor;
  • The Audio File and Artist Description must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age, as determined solely by Sponsor; and
  • The Audio File and Artist Description must not contain material that is unlawful, in violation of, or contrary to the laws or regulations in any jurisdiction where Audio File and Artist Description are created or distributed, as determined solely by Sponsor.

ADDITIONAL AUDIO FILE TERMS: Audio Files generated by script, macro, or other automated means are void. By entering the Contest, each Band and Band Member grants Sponsor a royalty-free, irrevocable, perpetual, worldwide, non-exclusive license to use, reproduce, modify, publish, distribute, publicly perform, create derivative works from, and display its Audio File in whole or in part, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. Each Band and/or Band Member must own all right, title, and interest in its Audio File and no other person or entity may have any ownership rights in the Audio File. Sponsor reserves the right, in its sole discretion, to assign an icon or image of its choosing to the Audio File for its posting as an entry into the Contest on the Website.

  1. SELECTION OF THE CONTEST COMPETITORS, CITY WINNERS, STATE WINNERS AND FINALIST BAND WINNERS: 

No winner will advance until Sponsor confirms compliance with these Official Rules. In case of a tie during any phase of the Contest, the winner shall be determined as set forth herein.

  1. Selection of the Competitor Bands: Following the Submission Phase, Sponsor's judging panel will select sixteen (16) Bands to compete in each City Competition (Cities: Athens, GA; Atlanta, GA; Nashville, TN;), for a total of 48 Bands. The Judging Panel will make its selections based on the following criteria:

(1) Vocal quality: pitch, tone, phrasing, dynamics, harmonies – 25%,

(2) Appeal – 20%,

(3) Musicianship of performers – 20%;

(4) Musical composition, originality and arrangement – 25%; and

(5) Presence and character – 10%.

Sponsor will notify and confirm eligibility of the sixteen (16) Bands during the week of February 19, 2018. Once confirmed, the Competitor Bands will be posted on the Websites.

  1. Selection of 8 City Winners (8 Winners Per City): At each host event per City, eight (8) winners will be selected as follows:
  • Attendee vote: 25% - Each attendee/audience member will receive a ballot.At the end of all performances, each attendee/audience member will cast their ballot for the Band they would like to advance.
  • Judging Panel: 75% - At the end of all performances, a panel of qualified judges appointed by Sponsor will apply the following Judging Criteria to award scores to the participating Bands. "Judging Criteria" is defined as:

(1) Vocal quality: pitch, tone, phrasing, dynamics, harmonies – 25%,

(2) Crowd appeal – 20%,

(3) Musicianship of performers – 20%;

(4) Musical composition, originality and arrangement – 25%; and

(5) On stage presence and character – 10%.

Based on the total of the attendee vote and the Judging Panel vote, the highest scoring band on each night in each City will be declared at the conclusion of the event. Advancement of any announced winner onto the next round is subject to confirmation of compliance with these Rules and verification of eligibility.

In the event of a tie, the Band with the highest score in the “Crowd appeal” criterion will be the winner. If there is still a tie, then the Band with the highest score in the “Musical composition, originality and arrangement” criterion will be the winner. If there is still a tie, the then the Band with the highest score in the “Musicianship of performers” criterion will be the winner.

  1. Selection of City Semi-Finalists (4 Winners from Each City):At each host event per City, 4 semi-finalists winners will be selected as follows:
  • Attendee vote: 25% - Each attendee/audience member will receive a ballot. At the end of all performances, each attendee/audience member will cast their ballot for the Band they would like to advance.
  • Judging Panel: 75% - At the end of all performances, a panel of qualified judges appointed by Sponsor will apply the Judging Criteria to award scores to the participating Bands.

Based on the total of the attendee vote and the Judging Panel vote, the highest scoring band on each night in each City will be declared at the conclusion of the event. Advancement of any announced winner onto the next round is subject to confirmation of compliance with these Rules and verification of eligibility.

In the event of a tie, the Band with the highest score in the “Crowd appeal” criterion will be the winner. If there is still a tie, then the Band with the highest score in the “Musical composition, originality and arrangement” criterion will be the winner. If there is still a tie, the then the Band with the highest score in the “Musicianship of performers” criterion will be the winner.

  1. Selection of City Finalists (1 Winner from Each City):At each host event per City, 1 semi-finalist winner will be selected as follows:
  • Attendee vote: 25% - Each attendee/audience member will receive a ballot.At the end of all performances, each attendee/audience member will cast their ballot for the Band they would like to advance.
  • Judging Panel: 75% - At the end of all performances, a panel of qualified judges appointed by Sponsor will apply the Judging Criteria to award scores to the participating Bands.

Based on the combination of the attendee vote and the Judging Panel vote, the highest scoring band in each City will be declared at the conclusion of the event. Advancement of any announced winner onto the next round is subject to confirmation of compliance with these Rules and verification of eligibility.

In the event of a tie, the Band with the highest score in the “Crowd appeal” criterion will be the winner. If there is still a tie, then the Band with the highest score in the “Musical composition, originality and arrangement” criterion will be the winner. If there is still a tie, the then the Band with the highest score in the “Musicianship of performers” criterion will be the winner.

  1. Selection of the State Finalist Winners (1 Winner from Each State): At each host event per State, 1 Finalist Band Winner will be selected as follows:
  • Attendee vote: 25% - Each attendee/audience member will receive a ballot.At the end of all performances, each attendee/audience member will cast their ballot for the Band they would like to advance.
  • Judging Panel: 75% - At the end of all performances, a panel of qualified judges appointed by Sponsor will apply the Judging Criteria to award scores to the participating Bands.

Based on the combination of the attendee vote and the Judging Panel vote, the highest scoring band in each State will be declared at the conclusion of the event. Advancement of any announced winner to Bonnaroo is subject to confirmation of compliance with these Rules and verification of eligibility.

In the event of a tie, the Band with the highest score in the “Crowd appeal” criterion will be the winner. If there is still a tie, then the Band with the highest score in the “Musical composition, originality and arrangement” criterion will be the winner. If there is still a tie, the then the Band with the highest score in the “Musicianship of performers” criterion will be the winner.

The odds of being selected to compete depend upon the total number of eligible entries received. The odds of winning a first round of a City competition are 8 in 16. The odds of winning a City Semi-Finalist round are 4 in 8. The odds of winning a City Finalist Round are 1 in 4. The odds of winning a State Finalist Round are 1 in 2.

  1. PRIZES AND APPROXIMATE RETAIL VALUE ("ARV"):
  1. Contest Prizes (3): The two (2) State Finalist Winner Bands will each receive:
  • The opportunity to play live for thirty (30) minutes at Bonnaroo, at the On Tap Lounge brewed by Miller Lite State, on a date between June 7 and June 10, 2018, determined in Sponsor's sole discretion. If a Finalist Band is unable to perform as scheduled, then the Band will be disqualified and the Band with the next-highest score assigned by the Finalist Judges during the State Finalists Selection Phase will be selected as a Finalist Band in its place;
  • Access to camping footprint at Bonnaroo from June 7 through June 10, 2018;

o Winners are responsible for all camping gear and transportation to/from camping site;

  • Bonnaroo Artist Passes, for June 7 through June 10, 2018; and
  • Access to Bonnaroo festival catering on day of winner's performance.

Approximate retail value of Grand Prize: $5,000.

NO TRAVEL IS INCLUDED AS PART OF THE PRIZE.

Conditions on Prize: Travel is subject to the restrictions and conditions set forth below. The Finalist Band Members must be prepared to leave for Manchester, TN June 6th, 2018 and return on or before June 11th, 2018. All expenses not specifically mentioned herein are not included and are solely the responsibility of each Grand Prize Winner, including, but not limited to: round trip transportation between the person's residence and the destination, alcoholic and non-alcoholic beverages, meals, incidentals, gratuities, incidental and personal expenses, laundry service, merchandise, mini-bar, parking, room service, service charges, souvenirs, telephone calls, any unspecified state or local taxes or government surcharges or fees, service charges, facility fees, security fees, passenger tariffs or duties, and all other expenses incidental to the acceptance, participation in and enjoyment of the Trip (as defined herein). The Sponsor will not provide travel insurance.

Prize is subject to availability. If a winning Finalist Band cannot travel on date(s) specified by the Sponsor, the Finalist Band may be disqualified, and an alternate Finalist Band may be selected (time permitting) in Sponsor’s sole discretion.

Sponsor shall not be held responsible for any delays in awarding prizes for any reason. Prizes will only be awarded to verified Winners. The right to receive a prize is non-assignable, non-transferable and no prize substitution, exchange or cash equivalent will be allowed, except by Sponsor who reserves the right to substitute prize of equal or greater value in case of unavailability of prize or force majeure. No refund or compensation will be paid in the event of the cancellation or delay of the event or any portion thereof. Sponsor will not be liable if the event or any portion of it is cancelled or delayed. In that event, Sponsor is not liable for replacing the prize. Sponsor may, in its sole discretion, attempt to reschedule for a future event. Event tickets are subject to certain terms and conditions as specified by issuer. The terms and conditions of the event tickets govern if the event is cancelled due to weather, an act of God, an act of terrorism, civil disturbance or any other reason. Sponsor is not responsible for, and will not replace, lost, mutilated, or stolen event tickets, vouchers, or certificates.

  1. PRIZE WINNER NOTIFICATION AND FULFILLMENT: 

Potential Winner Bands of each Phase will be notified by Sponsor at conclusion of the relevant round. If a potential Winning Band or any of its Band Members is found to be ineligible or not in compliance with these Official Rules, declines or is unable to participate on stage at during the next Phase, Sponsor is unable to verify eligibility or compliance with Official Rules by the potential Finalist Band within two (2) days for any reason, or if the potential winning Band and all Band Members fail to return the requested Affidavits of Eligibility/Liability & Publicity Releases and tax acknowledgement forms (collectively "Affidavits") within the time specified on those documents when received from Sponsor, the Band's opportunity to advance to a subsequent Phase/claim a prize may be forfeited and a new potential Winner Band will be determined as described above in Section 6. The Sponsor will not be required to contact more than three (3) Bands as replacement Winner Bands for disqualified Bands. Each member of a potential Winner Band may be required to furnish proof of identification. In the event an individual Band Member(s) is/are unavailable to perform at Bonnaroo after the Band has been confirmed as a Finalist Band, Sponsor may allow for the Band to substitute the Band Member(s) or may disqualify the Band as above, in its sole and absolute discretion.

A PARTICIPANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL SPONSOR HAS COMPLETED ITS VERIFICATION OF PARTICIPANT’S ELIGIBILITY.

A winner may waive the right to receive a prize. Prizes are non-assignable and nontransferable and cannot be redeemed for cash. No substitutions allowed by winner. Prizes and individual components of prize packages are subject to availability. Sponsor reserves the right to substitute prizes or components of prize packages with a prize or component of equal or greater value. Winner is solely responsible for reporting and payment of any taxes on a prize. Winner may be required to provide his/her valid Social Security Number to Sponsor for tax purposes and/or complete an IRS W-9 form in order to claim a prize. Prizes not won and claimed by eligible winners in accordance with these Official Rules will not be awarded and will remain the property of Sponsor.

EACH POTENTIAL PRIZE WINNER IS SUBJECT TO THE EXPRESS REQUIREMENT THAT HE/SHE SUBMITS TO SPONSOR ALL DOCUMENTATION REQUESTED BY SPONSOR TO PERMIT SPONSOR TO COMPLY WITH ALL APPLICABLE FEDERAL, STATE, AND LOCAL TAX REPORTING AND WITHHOLDING REQUIREMENTS. WINNERS WILL BE ISSUED AN IRS FORM 1099 BASED ON THE PRIZE VALUE DETERMINED BY SPONSOR. ALL TAXES IMPOSED ON PRIZES ARE THE SOLE RESPONSIBILITY OF EACH GRAND PRIZE WINNER BAND MEMBER, WITH THE VALUE OF EACH PRIZE ALLOCATED TO EACH BAND MEMBER EQUALLY.

  1. PUBLICITY: Except where prohibited, acceptance of any prize constitutes the winner's irrevocable consent to the publication or other use by Sponsor and its licensees of his or her name, biographical information and likeness in any media, including the Internet, for any commercial, publicity or promotional purpose, without limitation, review or approval, or additional compensation.

Each winner further grants Sponsor, and its affiliates, digital properties, and advertising, promotion and production agencies, permission to use his or her name, address or likeness in any and all advertising and promotional materials, in any manner or media whatsoever, including websites operated by Sponsor, for purposes of advertising, trade or promotion, without additional compensation.

Each winner acknowledges and agrees that he or she shall have no right of approval, no claim to any compensation, and no claim arising out of the use, alteration, or distortion of his or her name or address.

  1. PARTICIPATION AND ELIMINATION: By participating, Band Members agree to be bound by these Official Rules and the decisions of Sponsor and any Contest judges or administrators selected by Sponsor, which are final and binding in all respects. Failure to comply with these Official Rules may result in disqualification. Sponsor reserves the right to disqualify persons found tampering with or otherwise abusing any aspect of this Contest as solely determined by Sponsor. Sponsor reserves the right to cancel or modify the Contest for any reason, including, but not limited to, in the event the Contest is compromised by a virus, non-authorized human intervention, tampering or other causes beyond the reasonable control of Sponsor which corrupt or impair the administration, security, fairness, integrity or proper operation of the Contest as determined by Sponsor, in its sole discretion. Should the Contest be terminated prior to the stated expiration date, Sponsor reserves the right to award prizes based on the entries received before the termination date. Proof of sending or submission of an entry will not be deemed proof of receipt by Sponsor.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Any false information provided within the context of the Contest by any Band Member concerning identity, mailing address, telephone number, e-mail address, ownership of right or any other non-compliance with these Official Rules or the like may result in the immediate elimination of the Band Member and/or Band from the Contest. Any Band Member suspected of or found by Sponsor to be entering votes by automatic, programmed, script, bot, third-party or otherwise fraudulent method, in Sponsor’s sole discretion, will be disqualified and all votes made by such methods will be discounted. If a Band Member is suspected of submitting fraudulent votes or of inciting others to submit fraudulent votes on his/her/a Band’s behalf, such votes will be discounted and that Band Member and/or Band may be disqualified and any relevant entry removed, in Sponsor’s sole discretion. Position of an Audio File or Band profile on the Websites or any related viewing gallery is random and in no way indicative of vote counts or a Band’s standing in the Contest.

Sponsor reserves the right to disqualify any Band Member or Band found or suspected of tampering with the entry process or the operation of this Contest, to be acting in violation of these Official Rules, to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. If a Finalist Band is disqualified and the Sponsor in its sole and absolute discretion believes it is not able to replace the Finalist Band in time for the June 7–10, 2018 performance, then the Sponsor will not be required to replace the Finalist Band and the Prize will not be awarded.

  1. LIABILITY AND INDEMNIFICATION: 
  1. Liability: Bonnaroo Music & Arts Festival ("Bonnaroo") is operated in Manchester, TN. Damages to the stage, equipment or properties of Bonnaroo caused by the Finalist Band Members, either intentionally or through negligence, is the responsibility of the Finalist Band Members. Bonnaroo and Sponsor assume no responsibility for equipment, costumes, etc., utilized by the Finalist Band Members. The Finalist Band Members shall inspect and review the stage set-up prior to their performance to make certain that the equipment location and set-up shall not interfere with them during their Performance. Sponsor and Bonnaroo assume no responsibility for accident, damage to property, or injury resulting from the location and set-up of the Finalist Band Members equipment.
  1. Indemnification: The Finalist Band Members agree to indemnify and hold Bonnaroo and Sponsor harmless from and against any and all liability, claims, damages, penalties, litigation, costs and expenses, including reasonable attorney's fees, of whatever kind, to persons or property, which are directly or indirectly the result of (i) their breach or alleged breach of any representations or warranties; (ii) their acts or omissions; (ii) their negligence or violation of any law; (iii) their actual or alleged infringement of the rights of any person, including without limitation, copyright, patent, trade secret, trademark, privacy, publicity or other intellectual property laws; or (iv) any claim or allegation by any third party arising out of or relating to any license to an Audio File or Artist Description.
  1. OWNERSHIP OF MARKS: Bonnaroo, Cox Radio, Inc., Power 100.1, 103.7 ChuckFM, and 106.1/107.1 Your Georgia Country (the "Marks")are registered and unregistered trademarks or trade names owned by their respective owners and any registrations thereof, remain, and constitute their sole and exclusive property of such companies. The Finalist Band Members agree:
  1.  Not to use the Marks on any artist Merchandise, sound recordings in any format, film, recordings, or cover art, unless specifically approved in advance, in writing, by their owners;
  2.  Not to attack, assert any interest in, or infringe upon the title or any rights to the Marks;
  3.  Not to file applications to obtain registrations of the Marks or of any other marks or trade names confusingly similar to the Marks; and,
  4.  That all rights and proprietary interests in the Marks are reserved by the respective owners for their sole use and benefit.
  1. PRIVACY: Each Band Member agrees that personal data, including but not limited to, name, mailing address, telephone number, and e-mail address may be collected, processed, stored and otherwise used for the purposes of conducting and administering the Contest. If a Band Member does not provide the required data when requested, that Band member will be ineligible for any prize and may force the forfeiture of a prize by the Band, in which event Sponsor has no further obligation or liability to other Band Members or to the Band.
  1. RELEASE: By entering the Contest, each Band Member agrees: (i) to be bound by these Official Rules and by all applicable laws and decisions of Sponsor, which shall be binding and final; (ii) to waive any rights to claim ambiguity with respect to these Official Rules; (iii) to waive all of his/her rights to bring any claim, action, or proceeding against any of the Promotion Entities in connection with the Contest; and (iv) to forever and irrevocably agree to release, defend, indemnify, and hold harmless the Promotion Entities and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotions agencies, and prize suppliers, and each such companies' officers, directors, employees, agents, shareholders, representatives, successors and assigns (collectively, the "Released Parties"), from any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability (including, but not limited to, liability for defamation, libel, slander, invasion of privacy, infringement of publicity or any intellectual property rights, any property loss, damage, personal injury, bodily injury, death, expense, accident, delay, inconvenience or irregularity, and any indirect, incidental, consequential, special, punitive or exemplary damages of any kind even if the Released Parties have been advised of the possibility of such loss or damages), costs and expenses (including, without limitation, reasonable outside attorneys' fees) that may arise in connection with: (a) the Contest, including but not limited to any Contest-related activity or element thereof, and the Band Member's and/or Band's entry, participation or inability to participate in the Contest, (b) the violation of any third party privacy, personal, publicity or proprietary rights, (c) typographical errors in these Official Rules or any Contest materials, (d) acceptance, attendance at, receipt, travel related to, participation in, delivery of, receipt, possession, quality of, defects in, use, non-use, misuse, inability to use, loss, damage, destruction, negligence or willful misconduct in connection with the use of a Prize (or any component thereof), (e) any change in the prizing (or any components thereof) due to unavailability, business or creative considerations, or due to reasons beyond Sponsor's control, including but not limited to by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not such action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened or actual terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond any of the Promotion Entities' control, or as otherwise permitted in these Official Rules, (f) any interruptions in or postponement, cancellation, or modification of the Promotion, (g) human error, (h) incorrect or inaccurate transcription, receipt or transmission of any part of the entry (including, without limitation, the information or any parts thereof), (i) any technical malfunctions or unavailability of the Website or any telephone network, computer system, computer online system, computer timing and/or dating mechanism, computer equipment, software, or Internet service provider, or mail service utilized by any of the Promotion Entities or by a Band Member and/or Band, (j) interruption or inability to access the Contest, the Websites or any other Contest-related web pages, or any online service via the Internet due to hardware or software compatibility problems, (k) any damage to Band Member's or Band's (or any third person's) computer and/or its contents related to or resulting from any part of the Contest, (l) any lost/delayed data transmissions, omissions, interruptions, defects, and/or any other errors or malfunctions, (m) any late, lost, stolen, mutilated, misdirected, illegible, delayed, garbled, corrupted, destroyed, incomplete, undeliverable or damaged entries, (n) any wrongful, negligent, or unauthorized act or omission on the part of any of the Promotion Entities, or any of their agents or employees, (o) lost, late, stolen, misdirected, damaged or destroyed prizing (or any element thereof), (q) the collection, use and/or sharing of Band Member's personally identifiable information by Sponsor or their designees or (r) the negligence or willful misconduct by a Band Member or Band.
  1. LIMITATION OF LIABILITY: Promotion Entities are not responsible for illegible, lost, late, incomplete, stolen, misdirected, postage due, or undeliverable e-mail or postal mail; or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/web site/use net accessibility, availability, or traffic congestion, or any technical, mechanical, or typographical or other error, or unauthorized human intervention, or the incorrect or inaccurate capture of registration information, or the failure to capture, or loss of, any such information. Promotion Entities are not responsible for any incorrect or inaccurate information, whether caused by any web site users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Contest and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to any web site(s). Promotion Entities are not responsible for any injury or damage, whether personal or property, to participants or to any person's computer related to or resulting from participating in this Contest and/or accepting the Prize. If, for any reason, an entry is confirmed to have been erroneously deleted, lost or otherwise destroyed, corrupted or for any other reason not accepted as an entry into the Contest, the Band Member and/or Band's sole remedy is to submit another entry in the Contest. If, for any reason, the Contest is not capable of running as planned, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest and/or proceed with the Contest, including the selection of Winners, in a manner it deems fair and reasonable including the selection of winners from among eligible entries received prior to such cancellation, termination, modification or suspension.

By PARTICIPATING IN the CONTEST, PARTICIPANTS acknowledge and agree that EVERYTHING REGARDING THIS CONTEST, INCLUDING THE WEB SITE AND THE prize(S), ARE provided “as is” and that Sponsor makes no representations or warranties OF ANY KIND, express or implied, about the Prize(S) and sponsor hereby DISCLAIMS all such warranties, including, but not limited to, any implied warranties of merchantability or fitness for a particular purpose. (BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN IMPLIED WARRANTIES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, THE LIABILITY OF THE RELEASED PARTIES IS LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH STATE LAW.)

The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by PARTICIPANTs, printing OR PRODUCTION errors, or by any of the equipment or programming associated with or EMPLOYED in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest, the processing of entries, or the notification of any winner; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from A PARTICIPANT'S participation in the Contest or receipt or use or misuse of any prize.

Only the number of prizes stated in these Official Rules is available to be won in the Contest. In the event that production, technical, seeding, programming, or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award the prizes by a random drawing among all legitimate eligible prize claims.

Promotion Entities shall not be responsible or liable for entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit, or for entries that are late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, or otherwise not in compliance with the Official Rules, and all such entries will be disqualified.

  1. GENERAL: All federal, state, and local laws and regulations apply. Any use of robotic, automatic, macro, programmed, third party or like methods to participate in the Promotion will void any attempted participation effected by such methods and the disqualification of the individual utilizing the same. In case of a dispute as to the identity of a Band Member, entry will be declared made by the authorized account holder of the e-mail account submitted at time of entry. "Authorized account holder" is defined as the natural person who holds the e-mail account. In the event of any conflict with any Contest details contained in these Official Rules and details contained in Contest materials (including but not limited to point of sale, television, and print advertising, packaging, and other promotion media), the details of the Contest as set forth in these Official Rules shall prevail.

The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. Any disputes arising in connection with this Contest will be governed by the laws of the United States and the laws of the State of Georgia. By participating in this Contest, participants consent to the exclusive jurisdiction and venue of the state and federal courts in Fulton County, Georgia, in all disputes arising out of or related to this Contest.
